These Terms of Service (“Terms”) govern the booking and payment process on the Glival platform (“Glival,” “we,” “us,” “our”), operated by X STAR CODE, registered in Edmonton, Alberta, Canada (Registration Number: TN26511691).
Glival is a technology and booking platform. All services listed on Glival are provided solely by independent Professionals, not by Glival.
By making a booking, you agree to these Terms.
1. Nature of the Platform
Glival provides online scheduling, payments infrastructure, and communication tools that allow Clients to book services offered by independent Professionals (“Professionals”).
You acknowledge and agree that:
- Glival does not provide, supervise, control, or guarantee any services offered by Professionals.
- Glival is not a party to the agreement between Clients and Professionals.
- Glival is not the merchant of record; the Professional is.
- Glival does not employ, train, or certify Professionals.
- All service-related liability lies directly between Client and Professional.
2. Booking and Payment Process
Glival uses Stripe to process payments.
2.1 Direct Charges
All payments are processed as Direct Charges, meaning:
- The payment is processed directly for the Professional, not for Glival.
- The funds settle directly into the Professional’s Stripe Express account.
- Glival does not receive, control, hold, or store client funds at any stage.
2.2 Payment Authorization
For certain payment flows, a Client’s card may be authorized prior to capture.
Capture is executed directly on behalf of the Professional through Stripe.
2.3 Deposits and Full Payments
Professionals may choose between:
- Deposit payments (Client pays a portion upfront);
- Full payments (Client pays entire service price upfront).
The Professional defines which option applies to each service.
3. Stripe Fees
Payments processed on Glival are subject only to Stripe’s standard transaction fees (currently 2.9% + $0.30 CAD, plus any applicable international fees).
Glival:
- Does not add any extra platform fee to bookings.
- Does not mark up or change Stripe’s fees.
- Does not receive any portion of the payment unless the Professional subscribes to a paid plan for using Glival (this subscription is separate from bookings).
4. Pricing and Taxes
All service prices are set exclusively by the Professional.
Taxes:
- Professionals are solely responsible for determining, collecting, and remitting applicable taxes (including GST/HST/PST).
- If enabled, Stripe Tax may calculate taxes on behalf of the Professional, but Glival does not validate or guarantee the accuracy of tax settings.
Glival is not responsible for tax compliance of Professionals.
5. Cancellations, Late Cancellations, and No-Shows
Cancellation policies, late fees, and no-show rules are defined entirely by the Professional.
By booking a service, the Client agrees to:
- The Professional’s cancellation rules,
- Any applicable late cancellation fees,
- Any applicable no-show charges.
Glival:
- Does not control cancellation rules,
- Does not evaluate whether they are fair or appropriate,
- Is not responsible for enforcing them,
- Only facilitates payment processing through Stripe.
6. Refunds
Because Glival does not receive or hold funds:
- All refund decisions are made solely by the Professional.
- Glival cannot issue refunds and does not adjudicate refund disputes.
- Any refund issued through Stripe is financially the Professional’s responsibility.
Clients must contact the Professional directly for refund-related matters.
Glival may, at its discretion, assist with communication, but is not responsible for the outcome.
7. Disputes and Chargebacks
Disputes are processed exclusively through Stripe’s dispute mechanism.
Key points:
- The Professional, as merchant of record, is responsible for responding to disputes.
- Glival may relay dispute notifications but does not manage dispute evidence.
- If the dispute results in a loss, the financial loss is borne solely by the Professional, not Glival.
Glival is not liable for:
- Any dispute outcomes,
- Chargeback fees,
- Insufficient evidence submitted by the Professional.
8. Service Delivery and Responsibilities
Professionals are fully responsible for:
- Service quality,
- Timeliness,
- Safety, hygiene, and compliance with local regulations,
- Accuracy of service descriptions,
- Appointment availability,
- Ensuring correct address and contact details.
Glival does not guarantee:
- That a Professional will attend an appointment,
- The results or quality of services,
- That a Client will arrive or comply with appointment rules.
Any issues arising from the service must be resolved directly between Client and Professional.
9. Client Responsibilities
Clients agree to:
- Provide accurate contact and payment information,
- Attend appointments on time,
- Comply with the cancellation/no-show policies,
- Not engage in abusive, fraudulent, or harmful behavior.
Clients understand that failing to follow the Professional’s policy may result in fees charged to their payment method.
10. Platform Availability and Limitations
Glival provides technology on an "as is" and "as available" basis and does not guarantee:
- Uninterrupted availability,
- Error-free operation,
- Accurate data synchronization,
- Delivery of notifications (email/SMS).
Glival is not responsible for:
- Losses caused by outages,
- Calendar synchronization issues,
- Missed appointments due to communication failures.
11. Limitation of Liability
To the fullest extent permitted by law:
- Glival is not liable for any damages arising from services provided by Professionals.
- Glival is not liable for losses caused by cancellation policies, fees, or disputes.
- Glival’s maximum liability for any claim related to the platform shall not exceed CAD $100.
Clients and Professionals use the platform at their own risk.
12. Indemnification
You agree to indemnify and hold harmless Glival and X STAR CODE from any claims, losses, liabilities, disputes, and expenses arising from:
- Your use of the platform,
- Your interactions with Clients or Professionals,
- Any services booked through Glival,
- Your violation of these Terms or applicable laws.
13. Modifications
Glival may update these Terms. Updated versions will include a new “Last Updated” date. Continued use of the platform constitutes acceptance.
14. Governing Law
These Terms are governed by:
- The laws of the Province of Alberta, and
- The federal laws of Canada applicable therein.
All disputes shall be resolved exclusively by the courts of Alberta, Canada.
